Acceptance of Terms

By accessing catalyseresearch.com or using other products or services owned or operated by Catalyse Research LLP (collectively, including the Website), or by accepting any proposal or similar document where these Terms are incorporated by reference, you acknowledge and agree to these Terms. If you disagree with these terms, please refrain from using the platform. The company can modify these terms at its sole discretion, and such alterations shall be effective immediately unless a specific date is announced. Your continuation of using the website or services will signify your agreement to be bound by the changes.

Description of Services

Catalyse Research LLP offers tech services, but this doesn’t mean it is limited to technology. The company intends to assist clients in survey authoring and targeting audience/people (each a “Respondent” and collectively the “Respondents”). This includes services like data accumulation, response analysis, and gathering other types of data. The utilization of tech advances such as AI (Artificial Intelligence) and ML (Machine Learning) enhances our services. The company’s offerings include other professional services, like acquisition, analysis, and data reporting.

  • Note: The purchase order shall be deemed to have been accepted and be binding on both parties on the earlier of when the client: (a) executes and returns a Purchase Order to Catalyse Research LLP; (b) acknowledges acceptance of the Purchase Order by e-mail or any other commercially reasonable electronic means, by a person duly authorized by Client to execute the Purchase Order; (c) Catalyse Research LLP has started work at the direction of Client; or (d) Client has directed Catalyse Research LLP to place orders with its subcontractors to satisfy the Purchase Order. Catalyse Research LLP hereby grants Client a limited, non-transferable, non-exclusive license to the Services as necessary for Client to use the Services under the terms and conditions herein.

Definitions

  • Account: Your account gives you access to all of Catalyse Research LLP's services, including User Profiles.
  • Costs: This refers to all expenses paid when utilizing the services, such as subscription fees, service fees, and CPI.
  • Customer: Also referred to as "you" or "your," the customer is the entity that has been granted access to the Account and Catalyse Research LLP Services.
  • Multinational: Costs and timings are predicted on the questionnaire as being at least 80% similar across markets.
  • Translation Cost: Translation fees are determined by estimating the word count of the cited letter of intent. If the actual word count considerably surpasses the quoted number, Catalyse Research LLP can notify the customer and adjust timings and fees.
  • Data Verification: Catalyse Research LLP will verify the data's correctness and the respondents' caliber as usual. If the client has any special requests, let us know at the beginning of the job. There can be a time and/or money commitment.
  • Data Tables: Prices are based on the assumption that there are up to 20 columns in each set of Excel data tables. If a bigger banner is needed, additional charges can be incurred. Any information pertaining to an identified or identifiable natural person (a private individual as opposed to a corporate or other similar organization) is referred to as personal data, often known as personally identifiable information, PII, or personal information. A person who can be directly or indirectly recognized, especially by using an identity number or their physical, physiological, mental, economic, cultural, or social traits, is said to be identifiable.
  • Primary Account Contact: An employee of the customer assigned to the account is the primary account contact.
  • Reconciliations: Survey responses that the customer rejects for valid quality-related reasons, such as speeding (completing the survey in less than one-third of the median interview time within the survey project), straight-lining (having nearly all answer choices in common), logical inconsistencies, and open-ended gibberish responses (single word responses are not gibberish, just to be clear).
  • Subscription Agreement: A different contract that describes extra services and use.
  • Survey: The Catalyse Research LLP and Customer Account are connected to the survey, which is the data collecting tool.
  • Survey Response: A completed survey response is submitted by a person.
  • User Profile: Employee-specific access to a customer account is provided through a user profile.
  • VAT: Value-added tax, or VAT.

Cost and Payment Terms

The Primary Account Contact or your specified billing email address will get an email invoice detailing all costs related to your use of the services. Sales taxes, VAT, GST, and other value-added taxes are not included in the costs; you are also liable for any taxes related to your use of the Services. Services will be provided under a written agreement known as a Statement of Work ("SOW"), and unless specified differently, the SOW will contain the default price assumptions indicated below. Should these assumptions not be satisfied, pricing will be subject to change. After the invoice date, payments for services must be made within 30 days.

You shall notify Catalyse Research LLP of any cost-related disputes or Reconciliations by the end of the calendar month following the month in which a Survey Response was collected unless otherwise mutually agreed upon in writing between You and Catalyse Research LLP. You shall also furnish Catalyse Research LLP with an explanation for each Reconciled Survey response. You can send money via wire transfer, cheque, or ACH. Whatever costs made by the customer will be offset by whatever income the customer generates in the account, according to Catalyse Research LLP. Catalyse Research LLP has the right to restrict access to an account when bills are past due. Payment from any third party does not affect your responsibility to pay Catalyse Research LLP. After the invoice date, late payments will be charged interest at a rate of 1.5% per month or the highest permitted by relevant legislation. The client will cover all legal fees and collection charges if Catalyse Research LLP needs to file a lawsuit for payment. If the client fails to pay for the project covered by these Standard Terms on time, Catalyse Research LLP has the right, at its discretion, to halt work on the project or withhold its work product from the client on any open project that the firm is doing for the client.

Account Management

Your team members can access Catalyse Research LLP by obtaining an account with user profiles. User profiles and accounts are personal to you and your staff members only and cannot be transferred. The Customer should give written notification to Catalyse Research LLP to deactivate an employee who has a User profile on the Account and quits the Customer's employment. The Customer must provide the necessary hardware, software, servers, and internet connectivity to access the Services. Workers at Catalyse Research LLP can access your account to assist you, address concerns about inappropriate usage, and enhance platform services in general.

The following are prohibited by the customer, whether directly or indirectly: (i) reverse engineer, decompile, disassemble, or attempt in any other way to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Services or any software, documentation, or data related to the Services (collectively, the “Software”); (ii) alter, translate, or create derivative works based on the Services or any Software unless specifically allowed in this Agreement; (iii) use the Services or any Software for timesharing, service bureau purposes, or any other purposes that benefit a third party; or (iv) remove any proprietary notices or labels from company's resources.

Ethical Standards

Catalyse Research LLP and Customers are required to adhere to the norms, regulations, and guidelines that are specific to our sector; a few of them are outlined below under Protection of Human Rights. Catalyse Research LLP and Customer agree to uphold all relevant laws, ethical standards, and the human rights of their workers in the nations in which they conduct business.

Both bribery and corruption. Money laundering, bribery, embezzlement, corruption, or extortion are prohibited for both Catalyse Research LLP and Customers.

Forced labor as well as child labor. Catalyse Research LLP and Customer agree to forbid and desist from using child labor in their businesses, as well as from engaging in any other type of forced labor, human trafficking, or modern slavery.

Data Ownership & Privacy

  1. The survey form and all the data gathered will belong to the customer. All survey content is the exclusive responsibility of the customer. Customer guarantees that all survey questions will adhere to all applicable laws and codes, including those pertaining to child interviewing, among other things. Any breach of this Section shall be the exclusive responsibility of the Customer. Any content from surveys that breaks these terms of use may be removed at the company's discretion. Unless otherwise agreed in writing between Catalyse Research LLP and the Client, the Client may not invite or recruit Panel Members or Non-Panel Members to join a Client's Panel, mailing list, or any other Panels or send any commercial advertisements to the Panel Members or Non-Panel Members, available through the System. Unless specifically agreed to in writing in advance with Catalyse Research LLP, Customer may not use the Services or any data collected via the Services to identify a survey respondent or to recruit any survey respondent into a panel or database owned by Customer.
  2. All information gathered by Catalyse Research LLP will only be utilized to deliver the Services. All screener data and other information gathered from respondents by Catalyse Research LLP to provide the Services, including but not restricted to the Catalyse Research LLP ID given to each respondent, will belong to Catalyse Research LLP.
  3. Customer represents and declares that it has implemented administrative, technological, and physical security measures, privacy and data security policies, processes, and controls that align with industry best standards and practices regarding the gathering, storing, transferring, and selling of Personal Data. The customer guarantees that it will update its policies as often as needed to comply with applicable laws, industry best practices, and standards.
  4. In order to identify the Customer as a user of the Services, Catalyse Research LLP shall have the right to use the Customer's name and trademarks for marketing and public relations reasons. This may include but is not limited to, displaying the Customer's corporate logo on the Catalyse Research LLP website and other marketing materials.

Termination of Services

Unless otherwise specified in a Subscription Agreement, the Customer may discontinue using the Services at any time. Any unpaid expenses or penalties will be paid according to the standard billing schedule.

Warranties

The client understands that Catalyse Research LLP's services are delivered via the Internet and that elements are outside the company's control. The company shall make commercially reasonable measures to ensure uninterrupted service delivery. Catalyse Research LLP shall not be liable to the Customer for any outage of the Survey or any other failure to supply Services under this agreement resulting from or caused by events or circumstances without Catalyse Research LLP's control.

Mutual Indemnification

As a condition of using any service covered by these Terms of Use, each Party shall indemnify the other and its officers, agents, employees, and subcontractors against any claims for damages resulting from (i) the production, distribution, sale, or use of any goods or services provided by the Party or its agents; and from all costs and expenses (including reasonable legal fees) and lawsuits which may be brought against the other Party, its officers, agents, employees, and subcontractors on account of such damages; (ii) the breach of any covenant or obligation by a Party under this Agreement, save to the extent that such claim results from or is caused by the other Party's negligence or willful acts or omissions; and (iii) the negligence or willful acts or omissions on the part of a Party, its officers, agents, employees, and subcontractors.

Limitation of Liability

Unless otherwise stated, Catalyse Research LLP, its suppliers (Including, but not limited to, all equipment and technology suppliers), officers, affiliates, representatives, contractors, and employees shall not be responsible or liable under any theory relating to any matter of these terms of use or the servcies related thereto: (a) for any mistake or interruption in use; (b) for any indirect, exemplary, incidental, special or consequential damages; (c) for any matter beyond catalyse research llp's reasonable control; or for any loss or inaccuracy or corruption of data or cost of procurement of substitute goods, services, or technology or business; or (d) in every case, whether or not the customer has been advised of the possibility of such damages, for any amounts that, along with amounts associated with all other claims, exceed the fees paid by customer to catalyse research llp for the services under these terms of use in the twelve (12) months prior to the act that gave rise to the liability.

Non-Circumvention

The Client hereby agrees that, whether or not a transaction is completed with such prospective entities, the Customer will not enter into any agreements, transactions, or arrangements with any of the entities (including their agents, principals, and affiliates) that the Catalyse Research LLP has directly or indirectly introduced to the Customer as a result of a direct meeting, phone call, or as a survey respondent source, for the Term and for a period of one (1) year from the end of the Term or other termination of this Agreement.

Audit Rights

The right to audit the customer and its affiliates that supply the sourcing for the customer's panel(s) belongs to Catalyse Research LLP. The company must give the customer at least ten (10) working days' notice before announcing its intention to audit the company. When an audit is announced, a scoping document and a request for deliverables will be sent. In the event that the customer is unable to remove the required documentation from their property, they will provide Catalyse Research LLP access to the site or sites. During the audit, the customer will make the required workers or contractors accessible for phone or in-person interviews. Except in cases where the audit finds serious noncompliance with this Agreement or applicable laws and codes, in which case the Customer would pay the cost, audits shall be conducted at Catalyse Research LLP's sole expense.

Support

With the exception of US federal holidays ("Support Hours"), Catalyse Research LLP shall offer Technical Support to Customer by phone and email on weekdays from 4:00 am to 7:00 pm Pacific time. When responding to support tickets, Catalyse Research LLP will make every attempt to do so within one hour during Support Hours and one business day outside of those times.

Governing Law

All disputes relating to these Terms of Use or Customers' use of the Services shall be brought in the state or federal courts. These Terms of Use shall be governed by and construed under the laws of the United States of America and the state of California. The successful party shall be entitled to all reasonable legal fees, expenses, and costs, including but not limited to expert witness fees and investigative costs, in any action or process to enforce these Terms of Use or to recover any money owed hereunder.

I have read Catalyse Research LLP’s Terms & Conditions and agree to them. I also accept the pricing in accordance with the given parameters. Upon project completion, a revised cost will be determined if the predicted values for the incidence rate, length of interview, or volume of completed work differ.
